Jefferies & Company, Inc. is acting as sole book-running manager in the offering. The co-manager in the offering is Oppenheimer & Co. Inc. Somaxon expects to grant the underwriters an option to purchase up to an additional 600,000 shares of common stock to cover overallotments of shares, if any.
